Litigant Assails Los Angeles Superior Family Court Judge Holly Fujie [TLR Note:Fujie is a former partner of Buchalter Nemer, where she practiced very little Insurance Fraud — i.e no ongoing involvement in major cases. Her role was to serve as the “token” Asian at Buchalter — an otherwise Jewish firm. Part of “Fig-Leaf” to various financial schemes — as are other Asian-American females misused by others i.e. Ruthe Ashley, Patricia Lee, Leslie Hatamiya, etc. Her concurrent involvement with the State Bar Board of Governors, State Bar Trust Fund Commission, California Bar Foundation, and Bet Tzedek — which obtains money from both Cal Bar Trust Fund and Foundation — highly questionable (ditto, Shabbos goy Rex Heinke — former member of Cal Judicial Council) Especially since also present in the picture are Ronald George, Eric George, and Bonnie Rubin of 1st Century — a bank owned by Eric George and Alan Rothenberg. Per YR, a) Very clear Dan Dydzak is unlawfully prevented from developing his RICO case against the above, and it is clear someone is leading Dydzak astray. b) if Bet Tzedek is transferring embezzled money out of the US – is probably through Bet Tzedek’s Holocaust litigation c) YR once opined Fujie lacks self-respect and is, unfortunately, an embarrassment and exception to the Japanese culture and tradition.

How would you like to have her as the judge hearing your case like she is mine? I can tell you first hand she has no clue on family law and has no right to sit on the bench. She can judge others while she herself is being judged?

In reply to “It was revealed today that a former president of the State Bar of California and a U.S. federal judge are accused of conspiring to violate the constitutional rights of a California-based consumer activist.

In her currently-pending litigation, influential consumer activist Erin Baldwin accuses Holly Fujie and U.S. District Court Judge Dolly Gee of failing to disclose their close personal relationship to her, both separately and independent of one other.

These claims arose when Baldwin, a plaintiff, named Fujie as defendant in a federal court action which was assigned to the courtroom of United States District Court for the Central District of California, Hon. Judge Dolly Gee.

The claim of improprieties, published first by TLR, stems from recently-discovered evidence showing that both Fujie and Gee are members of the federal bar association’s board of directors, and are otherwise heavily involved in promoting each other in various APIA-only entities.

Previously, in a motion filed with the court, Baldwin already questioned Judge Dolly Gee’s impartiality, alleging that Judge Gee was appointed to the bench through the efforts of Holly Fujie — who serves as chairperson of a committee which recommends the appointment of federal judges to California Senator Diane Feinstein.

Baldwin has also pointed fingers at another member of said committee — Holly Fujie’s fellow confederate from Bet Tzedek, Eric George.

The latest allegations came as racial minorities in position of trust are routinely accused of intentional misrepresentation by failing to fulfill their duties to avoid any and all appearance of, let alone real, improprieties, and usually involving entities which are on the receiving end of money from large corporations, and usually utility companies. Most notable of which are “Shakedown Artist” Gwen Moore, Judy Johnson, Leslie Hatamiya, Ruthe Catolico Ashley, Maria Lucy Armendariz-Antonio Villaraigosa, Justice Ming Chin, Alec Chang, Lawrence Yee, former crack-addict Mike Nisperos. Pat McElroy, and U.S. District Court Judge Morrison C. England.

HOLLY FUJIE – Update

A former partner of Los Angeles-based Buchalter Nemer — who California Governor Jerry Brown appointed to the Los Angeles County Superior Court bench under questionable circumstances involving his cousin, former California Public Utility Commissioner Geoff Brown — is accused in federal court of committing myriad financial crimes and acts of fraud.

Documents filed in the United States District Court for the District of Columbia reveal that Holly Fujie of Los Angeles allegedly engaged in predicate acts of racketeering through and by means of money laundering, mail and bank fraud, as well as conversion of funds.

The lawsuit, filed as a civil-racketeering action by Marina Del Rey-based community activist Daniel Dydzak, also names as a defendant Bet Tzedek Legal Services of Los Angeles and Eric George — the son of the controversial former chief justice of California, Ronald George.

Both Holly Fujie and Eric George were directors of Bet Tzedek, an entity which obtained millions of dollars from the various trusts funds maintained and operated by the State Bar of California, as well as funds from the California Bar Foundation, where Holly Fujie presently serves as the vice-president.

Both the State Bar of California and the California Bar Foundation are under the direct control of the California Supreme Court.

The various legal trust funds maintained by the State Bar of California are overseen by the Legal Services Trust Fund Commission where, coincidentally, Holly Fujie also served as director.

Heading the commission is David Lash of O’Melveny & Myers, another lawyer who is a director of Bet Tzedek, and Bonnie Rubin of 1st Century Bank — a bank owned by former president of the State Bar of California Alan Rothenberg. Coincidentally, Eric George is part owner of 1st Century Bank.

Dydzak alleges in his lawsuits that part of the millions originated from the State Bar of California and its foundation headed to Bet Tzedek were embezzled by the various actors and were siphoned to off shore bank accounts.

Bet Tzedek is headed by CEO Sandor “Sandy” Samuels — former Chief Trial Counsel at embattled Countywide Financial Services — who according to Dydzak was appointed President and CEO of Bet Tzedek largely due to his working knowledge of how to operate an enterprise which engages in myriad financial crimes.

According to confidential sources familiar with the situation, Dydzak filed the suit in Washington DC, because he is extremely concerned that given the caliber of the defendants and the fact that they are in control of the justice system in California, they will seek to injure him in various ways, including in seeking to somehow derail the suit.

According to these sources, Tom Layton, investigator from the State Bar of California who is well connected with Los Angeles Sheriff Lee Baca, in the past paid a visit to Dydzak’s neighborhood, and sought to convince his neighbors to falsely accuse Dydzak of various acts of misconduct, including providing improper and unlawful legal counsel.

TIMELINE November 18, 2007 – Erwin Chemerinsky faces the challenge of drumming up millions to open UC Irvine’s facility in 2009

One of Erwin Chemerinsky’s jobs as dean of UC Irvine’s new law school will be to create a reputation for legal scholarship for the school. But it’s his other job — chief fundraiser — that will either make or break the fledgling school.

Chemerinsky’s challenge — raising tens of millions of dollars to open the school in 2009, erect buildings and fund an endowment — comes at a time of unprecedented fundraising in higher education, and for law schools in particular.

Although the controversy over Chemerinsky’s recent hiring, firing and rehiring has raised questions about the leadership of UC Irvine Chancellor Michael Drake, experts in philanthropy say it probably will have little or no effect on raising money.

“If they hadn’t rehired him, the school would have been finished . . . as far as academics is concerned,” said Brian Leiter, a professor of law and philosophy at the University of Texas at Austin who blogs on issues affecting law schools. “If anything, the public at large now sees Erwin Chemerinsky as the greatest constitutional scholar of all time because he got so much good press. It might inspire donors.”

What will matter, experts say, is Chemerinsky’s lack of fundraising experience and the fact that UC Irvine’s law school has no alumni whose wallets it can tap.

UCI already has three such commitments. The foundation of Irvine Co. Chairman Donald Bren gave $20 million, which got him naming rights. The Joan Irvine Smith & Athalie R. Clarke Foundation and Newport Beach attorney Mark P. Robinson Jr. pledged $1 million each.

“What is different for our law school is that for most universities, fundraising depends a great deal on the alumni base,” Chemerinsky said..

Chemerinsky knows, however, that he will be the de facto development director as founding dean — a role he has never played before.

“I’m not very far along in conversations with donors,” he said. “I’m at Duke this year. I was committed to teach here before accepting the UC Irvine job.

“It’s hard to do that across the country,” Chemerinsky said. “Realistically, I’m not going to be able to be seriously involved in development until we get out there at the end of June. I so look forward to selling my dream to Orange County and Southern California.”

Chemerinsky said he is laying the groundwork for his fundraising effort by recruiting high-profile faculty who will inspire donors.

“We are talking to nine people seriously, all of them big names,” Chemerinsky said. “Our goal is to recruit a faculty equal to any top 10 or 20 law school.”

Fred Rowley —  As the wide network of Asian Pacific Islanders (“API”) operatives allegedly involved in myriad financial schemes on behalf of utility companies and their law firms continue to grow, a new wrinkle was recently added as California Supreme Court Associate Justice Ming W. Chin’s tenure has been shaken by revelations of alleged bribery by Edison International (“EIX”), Southern California Edison (“SCE”), and the law firm which represents them — Munger Tolles & Olson (“MTO”).


Fred Rowley of Munger Tolles & Olson who allegedly served as the middleman and conduit of bribes in his capacity as director of CAUSE. Once caught, Rowley conspired with Justice Chin, MTO, SCE, and others to defraud and mislead the California Commission on Judicial Performance. According to MTO, Rowley is a member of the Los Angeles World Affairs Council and the Pacific Council on International Policy. A source familiar with the situation, speaking on condition of anonymity, maintain that “overwhelming and undisputed” evidence shows that for a period of several years, both SCE and MTO poured large amounts of money into a questionable non-profit entity for which Justice Chin served as an official adviser, albeit secretly so.

The non-profit at issue is Pasadena-based Center for Asian-American United for Self Empowerment (“CAUSE”), which allegedly spends the money it collects for the purpose of voter-registration of API, as well as to lobby for furthering the appointments of APIs to various governmental positions.

While Justice Chin’s clandestine involvement with CAUSE began in approximately 2004, the source maintain the inquiry is focused on the years prior to the recent election by which Justice Chin was up for re-election, and during the time period one alleged wrongdoer – API Fred Rowley of MTO – served as the middleman and conduit of bribes in his capacity as director of CAUSE.

This, according to the source, creates not only the appearance of improprieties but actual misconduct as bestowing anything of value on a judicial officer by SEC and MTO to sponsor an entity which will register as many as APIs as possible who would, in turn, vote for the retention of Chin in the upcoming election, is prohibited.

As mentioned earlier, Justice Chin abruptly quit CAUSE in the midst of an inquiry by the California Commission on Judicial Performance subsequent to a complaint which alleged that Chin’s long-standing involvement with the entity — which caters exclusively to APIs — is prohibitive due to CAUSE’s invidious discrimination against those who are non-API. At that time, those were the only allegations lodged, and no mention was made of alleged improprieties by EIX, SCE, or MTO.

To hear him talk, one would often believe that Olson is a good-ol’ country farmer who sweats profusely while tilling the land and fears the limelight lest it fade his suit, rather than the shrewd, well-connected attorney who sits on the board of Berkshire Hathaway, Edison International, Southern California Edison, City National Corporation, The Washington Post Company, Western Asset Trusts, RAND Corporation, the Mayo Clinic, and the Council of Foreign Relations, or the attorney who in his spare time practices law out of Los Angeles-based Munger Tolles Olson on behalf of Berkshire Hathaway, Edison International, Southern California Edison, Western Asset Trust, and many other entities such as The Yucaipa Company, Hollywood studios, and other major banks and utility companies.

A similar tactic is used by Warren Buffett, who portrays himself as the harmless average Joe who drinks 5 cans of Cherry Coke a day and spends his time playing bridge. Gold? That’s for Jews to sew into their garments, Charlie Munger declared recently. We are into value investing in productive and honest businesses. Greed ? Speculation? Hollywood? Churning ? Control and influence over banks, monetary policies, the media, utilities, and the government? Not us, no sirree Bob.

    Carol Watts Avers Dydzak Dismissed Case Against Joe Dunn as Judge Manuel Real Set to Rule on Motions (TLR Note: which pebble in shoe prompts Watts to obsess with Dydzak’s legal journey?)

    One Carol Watts wrote: “Dydzak’s RICO case filed in DC District court is now pending before Judge Real in the Central District and scheduled for dismissal on Oct 29, 2012. Dydzak v Dunn was voluntarily dismissed by Dydzak after Def’s filed motions to have him deemed vexatious in the state court.”

    Watts commnet comes on the heel of report that former partner of Los Angeles-based Buchalter Nemer — who California Governor Jerry Brown appointed to the Los Angeles County Superior Court bench under questionable circumstances involving his cousin, former California Public Utility Commissioner Geoff Brown — is accused in federal court of committing myriad financial crimes and acts of fraud.

    Documents filed in the United States District Court for the District of Columbia reveal that Holly Fujie of Los Angeles allegedly engaged in predicate acts of racketeering through and by means of money laundering, mail and bank fraud, as well as conversion of funds.

    The lawsuit, filed as a civil-racketeering action by Marina Del Rey-based community activist Daniel Dydzak, also names as a defendant Bet Tzedek Legal Services of Los Angeles and Eric George — the son of the controversial former chief justice of California, Ronald George.

    Both Holly Fujie and Eric George were directors of Bet Tzedek, an entity which obtained millions of dollars from the various trusts funds maintained and operated by the State Bar of California, as well as funds from the California Bar Foundation, where Holly Fujie presently serves as the vice-president.

    Both the State Bar of California and the California Bar Foundation are under the direct control of the California Supreme Court.

    The various legal trust funds maintained by the State Bar of California are overseen by the Legal Services Trust Fund Commission where, coincidently, Holly Fujie also served as director.

    Heading the commission is David Lash of O’Melveny & Myers, another lawyer who is a director of Bet Tzedek, and Bonnie Rubin of 1st Century Bank — a bank owned by former president of the State Bar of California Alan Rothenberg. Coincidentally, Eric George is part owner of 1st Century Bank.

    Dydzak alleges in his lawsuits that part of the millions originated from the State Bar of California and its foundation headed to Bet Tzedek were embezzled by the various actors and were siphoned to off shore bank accounts.

    Bet Tzedek is headed by CEO Sandor “Sandy” Samuels — former Chief Trial Counsel at embattled Countywide Financial Services — who according to Dydzak was appointed President and CEO of Bet Tzedek largely due to his working knowledge of how to operate an enterprise which engages in myriad financial crimes.

    According to confidential sources familiar with the situation, Dydzak filed the suit in Washington DC, because he is extremely concerned that given the caliber of the defendants and the fact that they are in control of the justice system in California, they will seek to injure him in various ways, including in seeking to somehow derail the suit.

    According to these sources, Tom Layton, investigator from the State Bar of California who is well connected with Los Angeles Sheriff Lee Baca, in the past paid a visit to Dydzak’s neighborhood, and sought to convince his neighbors to falsely accuse Dydzak of various acts of misconduct, including providing improper and unlawful legal counsel.

    Additionally, the suit also names as defendants Keker & Van Nest and partner Matt Werdegar — who allegedly run the San Francisco law firm as a criminal racketeering enterprise.

    The suit contends that named partner John Keker participated and was well aware of the surreptitious and conspiratorial alliances and unlawful agreements.
     
    Matt Werdegar is the son of the former CEO of San Francisco-based Institute on Aging David Werdegar who abruptly quit his position earlier this year amid reports of alleged financial improprieties.

    In a separate suit, Dydzak’s averred that California Supreme Court Justice  Kay Werdegar failed to inform interested parties of the fact that entities such as brokerhouse Charles Schwab and law firm Morrison & Foerster, for example, are major donors to the IOA, totaling tens of thousands of dollars.

    Dydzak further alleges that Justice Werdegar’s failure to take these steps stemmed from a civil conspiracy entered into by the various parties (and specifically Charles Schwab and David Werdegar), by which Justice Werdegar would rule against Dydzak, ipso facto preventing him from further developing the case against Charles Schwab, because further actions by him would have exposed Charles Schwab’s various alleged unlawful activities; at the same time, ruling against Dydzak enriched her husband, David Werdegar, financially — and, by extension, enriched her as well.

    United States filed a fraud lawsuit against Bank of America In Re Countrywide Scheme(TLR Note:1- BofA- Berkshire Hathway-MTO2- Bet Tzedek-Samuels – Extortionist Eric George Connection)

    The United States filed a fraud lawsuit against Bank of America Corp, accusing it of causing taxpayers more than $1 billion of losses by selling thousands of toxic mortgage loans to Fannie Mae and Freddie Mac.

     Wednesday’s case, originally brought by a whistleblower, is the U.S. Department of Justice’s first civil fraud lawsuit over mortgage loans sold to the big mortgage financiers, which were bailed out in 2008.

     It also compounds the legal problems that Bank of America Chief Executive Brian Moynihan faces over the second-largest U.S. bank’s disastrous 2008 purchase of Countrywide Financial Corp, once the nation’s largest mortgage lender.

     According to a complaint filed in Manhattan federal court, Countrywide in 2007 invented a scheme known as the “Hustle” to speed up processing of residential home loans.

    EXTORTION BY ERIC GEORGE

    As was reported earlier, Det. Rodney Wagner of the Sheriff’s Department stated his view that the department’s six-month investigation turned up evidence of “implied threats” against the actor by Oksana Grigorieva and her lawyers.

    He wrote that he found support for three separate extortion charges in Grigorieva’s e-mails to Gibson and in a March 2010 meeting in which her lawyers, Eric George and Sonia Y. Lee, talked with Gibson’s representatives about how disclosure of the tapes and photos would “ruin” his career.

    “By discussing the potential damage to Mr. Gibson’s career if the ‘evidence’ were to be released to the public … it was my opinion, that constituted an implied threat,” Wagner wrote.

    George, who was Grigorieva’s lead attorney in the negotiations, is the son of the state’s former chief justice and a campaign fundraiser for Dist. Atty. Steve Cooley. He hosted a $500-per-person cocktail party at his Beverly Hills home in August for Cooley’s unsuccessful race for attorney general and donated $6,500 to his campaign. He declined to comment.

    Grigorieva’s current attorney, Daniel Horowitz, said Wagner had mistaken bare-knuckles legal negotiations for a crime.

    “Lawyering is a very tough business,” he said.

    Examination Underway to Explore Viability of Suit Against Eric George for Penal Code Violation for Alleged Extortion of Actor Mel Gibson

    A “painstaking” examination into “standing” has begun in seeking to hold Eric George of Browne George & Ross civily liable for the crime of extortion/attempted extortion inflicted on actor Mel Gibson.

    Said suit will be civily prosecuted pursuant to holding in the case of Stop Youth Addiction, Inc. v. Lucky Stores, Inc.

    California’s unfair competition law prohibits “any unlawful, unfair or fraudulent business act or practice and unfair, deceptive, untrue or misleading advertising.” (Cal. Bus. & Prof. Code § 17200.)  And under this law, a practice can be prohibited as unfair or deceptive even if not unlawful, and vice versa. (Cel-Tech Communications, Inc. v. Los Angeles Cellular Tel. Co., 20 Cal. 4th 163 (1999).)  For example, a plaintiff’s allegations that a defendant used incomplete and misleading illustrations to sell universal life insurance policies may be actionable under the unfair competition law absent any claim that such conduct violated any regulation or statute. (Wilner v. Sunset Life Ins. Co., 78 Cal. App. 4th 952 (2000).)

    An unlawful business practice can be “anything that can properly be called a business practice and that at the same time is forbidden by law.” (Summit Tech., Inc. v. High-Line Med. Instruments Co., 933 F. Supp. 918 (C.D. Cal. 1966) and Wilner, 78 Cal. App. 4th 952.)

    This prong of the unfair competition law allows a plaintiff to enforce a broad array of state and federal statutes, including consumer-protection statutes (Walker v. Countrywide Home Loans, Inc., 98 Cal. App. 4th 1158 (2002) (Cal. Civ. Code § 2954.4); antidiscrimination statutes (Reese v. Wal-Mart Stores, Inc., 73 Cal. App. 4th 1225 (1999), (Unruh Civil Rights Act, Cal. Civ. Code §§ 51-51.4)); criminal statutes (Stop Youth Addiction, Inc. v. Lucky Stores, Inc., 17 Cal. 4th 553 (1998), (Cal. Penal Code § 308); and environmental statutes (Hewlett v. Squaw Valley Ski Corp., 54 Cal. App. 4th 499 (1997), (Cal. Pub. Res. Code § 4511).)

    LOS ANGELES COUNTY SUPERIOR COURT JUDGE HOLLY FUJIE ACCUSED OF MISAPPROPRIATION OF FUNDS

    A former partner of Los Angeles-based Buchalter Nemer — who California Governor Jerry Brown appointed to the Los Angeles County Superior Court bench under questionable circumstances involving his cousin, former California Public Utility Commissioner Geoff Brown — is accused in federal court of committing myriad financial crimes and acts of fraud.

    Documents filed in the United States District Court for the District of Columbia reveal that Holly Fujie of Los Angeles allegedly engaged in predicate acts of racketeering through and by means of money laundering, mail and bank fraud, as well as conversion of funds.

    The lawsuit, filed as a civil-racketeering action by Marina Del Rey-based community activist Daniel Dydzak, also names as a defendant Bet Tzedek Legal Services of Los Angeles and Eric George — the son of the controversial former chief justice of California, Ronald George.

    Both Holly Fujie and Eric George were directors of Bet Tzedek, an entity which obtained millions of dollars from the various trusts funds maintained and operated by the State Bar of California, as well as funds from the California Bar Foundation, where Holly Fujie presently serves as the vice-president.

    Both the State Bar of California and the California Bar Foundation are under the direct control of the California Supreme Court.

    The various legal trust funds maintained by the State Bar of California are overseen by the Legal Services Trust Fund Commission where, coincidentally, Holly Fujie also served as director.

    I. INTRODUCTION

    Disputing the jurisdiction of the Public Utilities Commission (PUC or Commission) over entities other than public utilities, the parent holding companies of California’s three large investor-owned electric utilities seek to be dismissed from a pending PUC proceeding investigating actions taken by the holding companies and their utility subsidiaries during the electricity energy crisis of 2000 and 2001.   The holding companies and their utility subsidiaries also challenge an interim opinion of the PUC interpreting one of the conditions imposed at the time the utilities sought approval to form holding company structures.

    The challenged rulings arise out of an investigation initiated by the PUC during the height of California’s electricity energy crisis in 2001.  (See Cal.P.U.C. Order Instituting Investigation, Investigation No. 01-04-002, 2001 WL 710117 (Apr. 3, 2001) [2001 Cal.PUC Lexis 405] (hereafter Order Instituting Investigation).)   In addition to naming the utilities as parties to the investigation, the PUC also included as parties their parent holding companies-Edison International (EIX), Sempra Energy (Sempra), and PG & E Corporation (PG & E Corporation) (collectively, the holding companies).

    The PUC’s investigation relates back to a series of proceedings in the 1980’s and 1990’s in which California’s investor-owned electric utilities each sought approval to reorganize under a holding company structure, which would permit each utility to become the wholly owned subsidiary of a holding company.   The PUC approved the requests of the three utilities-Southern California Edison Company (Edison), San Diego Gas & Electric Company (SDG & E), and Pacific Gas and Electric Company (PG & E Utility) (collectively, the utilities)-subject to certain conditions referred to as the holding company conditions.   The holding company conditions were intended to protect ratepayers and to address the potential for abuse arising from the holding company structure.

     One of the holding company conditions is the so-called first priority condition, also referred to as the capital requirements condition,1 which in general requires that the holding companies give first priority to the capital requirements of their utility subsidiaries as determined to be necessary to meet their obligation to serve.   The investigation initiated by the PUC in 2001 sought to determine, among other things, whether the holding companies had violated the first priority condition by failing to infuse capital into their financially distressed utility subsidiaries.

    Fundamentally, these seven petitions raise two issues.   The threshold issue is whether the PUC has jurisdiction to enforce the holding company conditions against the holding companies.   The second issue raised by these petitions concerns the PUC’s initial interpretation of the first priority condition.   We have consolidated the three petitions challenging jurisdiction;  we have separately consolidated the four petitions raising substantive issues;  and we have granted a writ of review in each consolidated proceeding.   We now order all seven cases consolidated for purposes of decision.

    On the jurisdictional question, we affirm the PUC’s decisions denying the holding companies’ motions to dismiss.  (Cal.P.U.C. Dec. Nos. 02-01-037 (Jan. 9, 2002) [2002 Cal.PUC Lexis 7] & 02-07-044, 2002 WL 31006238 (July 17, 2002) [2002 Cal.PUC Lexis 430].)   Under the circumstances presented here, the PUC has jurisdiction over a holding company to enforce conditions imposed by the PUC pursuant to its statutory authority to approve applications by public utilities for certain mergers, acquisitions, changes in control, or issuances of securities.  (See Pub. Util.Code,2 §§ 701, 818, 819 & 854.)   On the interpretation of the first priority condition, we conclude the issue is not yet ripe for review.  (Cal.P.U.C. Dec. Nos. 02-01-039 (Jan. 9, 2002) [2002 Cal.PUC Lexis 5] & 02-07-043, 2002 WL 31006348 (July 17, 2002) [2002 Cal.PUC Lexis 440].)

    II. FACTUAL AND PROCEDURAL BACKGROUND

    A. The Holding Company Decisions1. SDG & E I

    In 1985, SDG & E was the first electricity utility to apply to the PUC to reorganize under a holding company structure in order to facilitate the  decision of SDG & E management to diversify its business.  (Re San Diego Gas and Electric Co. (1986) 20 Cal.P.U.C.2d 660, 662 (SDG & E I ).)   SDG & E sought approval of its proposed reorganization under section 854, which provides that no person or corporation may acquire or control a public utility, either directly or indirectly, without first securing the authorization of the PUC.3 (SDG & E I, supra, 20 Cal.P.U.C.2d at p. 662.)   The proposed reorganization took the form of a reverse triangular merger, in which SDG & E would become the wholly owned subsidiary of a newly formed public utility holding company that would own the stock of the regulated utility and nonregulated affiliated enterprises.  (Ibid.;  cf.  Re Pacific Gas and Electric Co. (1996) 69 Cal.P.U.C.2d 167, 180 & fn. 3 [describing reverse triangular merger] (PG & E I ).)

    The PUC ultimately approved SDG & E’s application subject to 20 conditions intended to insulate utility operations and ratepayers from potentially adverse consequences of diversification.  (SDG & E I, supra, 20 Cal.P.U.C.2d at pp. 662, 676-686.)   Several of these conditions related to the maintenance of the utility’s financial strength.  (Id. at p. 681.)   Among these financial conditions were the “balanced capital structure” condition, which requires the holding company to maintain a balanced capital structure in its utility subsidiary.   Another financial condition was the “stand-alone dividend” condition, which requires the utility to continue to set its dividend policy as if it were a stand-alone entity.   As relevant here, one of the conditions imposed upon SDG & E and its holding company was the “capital requirements” or “first priority condition” condition, which reads as follows:  “The capital requirements of the utility, as determined to be necessary to meet its obligation to serve, shall be given first priority by the Board of Directors of [the holding company], and SDG & E.” (Ibid.) Other than describing the first priority condition as a condition related to “financing priorities,” the PUC’s 1986 decision approving SDG & E’s application contains no discussion of the meaning, purpose, or interpretation of the first priority condition.   (Ibid.)

    In the SDG & E I decision, the Commission devoted considerable attention to the PUC’s authority to enforce the conditions.  (SDG & E I, supra, 20 Cal.P.U.C.2d at pp. 686-687.)   Parties opposing SDG & E’s application “allege[d] that the Commission has questionable jurisdiction to enforce any conditions adopted in this order as against [the holding company].”  (Id. at p. 686.)   In contrast to the position SDG & E asserts now in its petition before  this court, SDG & E at the time argued that the PUC possesses the authority to enforce the conditions as against SDG & E and its holding company parent, citing section 2111 4 as evidence of the PUC’s ability to enforce Commission orders violated by entities other than public utilities.   Indeed, SDG & E conceded the PUC’s jurisdiction by itself proposing conditions governing the holding company’s activities.   Additionally, if the PUC deemed it necessary, SDG & E proposed entering into a contract with its holding company parent agreeing to the performance of the conditions and naming the PUC as a third-party beneficiary to the agreement.   Thus, according to SDG & E, the PUC would be entitled to sue either SDG & E or its parent holding company for specific performance of any of the conditions.  (20 Cal.P.U.C.2d at p. 686.)

    The PUC concluded in SDG & E I that it has jurisdiction over the holding company parent, reasoning as follows:  “Section 854 vests in this Commission a broad authority to approve or deny applications for transfers of utility ownership or control.   Implicit in this authority is the right to place reasonable conditions upon the transferor and/or transferee should a need for conditions be shown.   SDG & E, on its own behalf and [of its holding company parent], itself argues this proposition.   We cannot believe that the right to impose conditions carries with it no right to enforce those conditions;  without the latter right, the former is meaningless.”  (SDG & E I, supra, 20 Cal.P.U.C.2d at p. 686.)   The PUC went on to explain why a contract between SDG & E and its holding company parent incorporating the PUC’s conditions was unnecessary, stating, “The Commission is empowered in myriad ways to secure compliance with its orders.   The broad regulatory discretion described in the Public Utilities Act is ample evidence of [this] fact.   SDG & E cites the most extreme example of our powers, the ability to pursue contempt remedies for regulatory law violations.   SDG & E and [its parent holding company] must, under the terms of Section 854, submit to the Commission’s fullest authority if they in fact intend to consummate the transactions described in their application.   Having so submitted, SDG & E and [its parent holding company] need not execute their proposed contract;  it would be a superfluous act in light of our existing authorities to pursue the enforcement of any of the foregoing adopted conditions.” 5  (20 Cal.P.U.C.2d at pp. 686-687.)

      Ultimately, SDG & E chose not to form a holding company structure in the mid-1980’s because it was unwilling to agree to some of the PUC’s conditions.

    2. Edison

    One year after the decision in SDG & E I, Edison applied to the PUC under section 854 for approval to reorganize under a holding company structure implemented through a reverse triangular merger.  (Southern California Edison Co. (1988) 27 Cal.P.U.C.2d 347, 357, 1988 WL 391351 (Edison ).)   The PUC approved the application, again subject to certain conditions intended to mitigate the dangers stemming from the reorganization so that ratepayers would be indifferent to the change.   The PUC’s decision in SDG & E I formed the touchstone for the analysis of Edison’s application.   (See Edison, at p. 357.)   Indeed, in considering Edison’s application, the PUC asked Edison to comment on each of the 20 conditions imposed in the SDG & E decision.  (Ibid.) Once again, the first priority condition was included among the conditions imposed by the PUC.6 (Edison, at p. 368.)   Edison agreed to this condition without objection, and the decision contains no discussion of the meaning or application of the first priority condition.   (Ibid.)

    Unlike the decision in SDG & E I, which included a lengthy discussion of jurisdictional concerns, the 1988 Edison decision touches on jurisdictional issues only briefly.   Responding to an argument that a holding company structure would reduce the PUC’s regulatory oversight, the PUC stated that “[w]e do not agree that the Commission needs to exert direct authority over the holding company to regulate the utility effectively․ The utility must still respond to Commission orders regardless of what the parent may do.”   (Edison, supra, 27 Cal.P.U.C.2d at p. 361.)   However, in a dissent from the decision to permit Edison to form a holding company structure, Commissioner Donald Vial 7 expressed his concern that the decision would limit the PUC’s ability to control or regulate the new affiliate relationships under the holding company structure.  (Edison, at p. 395 (disn. opn. of Comr. Vial).)

    Edison chose to proceed with its plans to adopt a holding company structure.   Accordingly, as required by the PUC’s decision in Edison, Edison  filed a written notice reflecting the agreement of Edison and its parent holding company to the conditions imposed in the decision.   Like the decision in SDG & E I, the Edison decision did not require the utility to enter into a contract with its holding company parent incorporating the conditions imposed by the PUC. (See Edison, supra, 27 Cal.P.U.C.2d at pp. 374-376 [order approving reorganization].)

    3. SDG & E II

    In 1994, SDG & E returned to the PUC, once again seeking authorization to reorganize under a holding company structure.  (Re San Diego Gas and Electric Co. (1995) 62 Cal.P.U.C.2d 626, 632, 1995 WL 768624 (SDG & E II ).)   At the time, the PUC permitted the application to proceed under section 818 of the Public Utilities Code instead of section 854 because the PUC determined the reorganization involved no change in actual control of SDG & E. Section 818 covers a utility’s issuance of certain debt or equity instruments, while section 854 relates to a change in utility ownership or control.8

    The decision to consider the application under section 818 did not result from a change in the nature of the proposed transaction, which still involved a reverse triangular merger in which SDG & E would end up becoming the wholly owned subsidiary of a parent holding company.  (See SDG & E II, supra, 62 Cal.P.U.C.2d at p. 633.)   Rather, the decision to consider the application under section 818 appears to have been motivated by a change in the wording of section 854, which had been amended by 1989 legislation.   The 1989 amendments to section 854 require the PUC to make a number of specific findings before authorizing a change in control of a utility,9 and the revised section 854 places the burden on the party seeking to obtain control of a public utility to prove by a preponderance of the evidence that the requirements of the section are met.  (See former § 854, as amended by Stats.1989, ch. 484, § 1, pp. 1706-1707.)

      Despite considering SDG & E’s application under section 818 instead of section 854, the PUC once again imposed certain conditions on the utility and its holding company in order to maintain ratepayer indifference to the proposed reorganization.   Once again, the PUC referred back to its 1986 decision in SDG & E I as the genesis of the conditions imposed on utilities seeking to reorganize under holding company structures.  (SDG & E II, supra, 62 Cal.P.U.C.2d at p. 635.)   As before, the PUC imposed a first priority condition with wording similar to that adopted in the SDG & E I and Edison decisions:  “The capital requirements of SDG & E, as determined to be necessary to meet its obligation to serve, shall be given first priority by the Board of Directors of Parent and SDG & E.” (SDG & E II, at p. 651.)

    The issue of the PUC’s jurisdiction arose in the SDG & E II decision in the context of a request by the PUC’s Division of Ratepayer Advocates to impose a condition preserving the PUC’s regulatory control over SDG & E’s activities.   (SDG & E II, supra, 62 Cal.P.U.C.2d at p. 643.)   The PUC rejected the proposal, reasoning that the proposed reorganization would not diminish its regulatory control and that “[a] condition neither adds to nor diminishes our regulatory control.” 10  (SDG & E II, at p. 643.)   The PUC also explained that “if [it] imposed this condition, we could expect an endless litigation in which the condition would be invoked as establishing a “historical” test of utility regulation in 1995 as the standard by which all future regulation of SDG & E and its affiliates would be assessed.   Parent, SDG & E, the electric utility industry, and our regulatory role will continue to evolve in the future as we revisit the scope and scale of regulatory interests.”  (Ibid.)

    Both the utility and the holding company passed board resolutions signifying their agreement with the conditions.   In 1996, SDG & E’s parent holding company, Enova Corporation, applied to merge with Pacific Enterprises to form a new holding company that would eventually become Sempra Energy (Sempra), the current holding company parent of SDG & E. The PUC approved that application pursuant to section 854, once more imposing certain conditions intended to protect the public interest, and requiring that the newly formed holding company agree to those conditions.

     4. PG & E

    In 1995, PG & E Utility applied under section 818 to reorganize under a holding company structure, proposing a reverse triangular merger in which PG & E Utility would become the wholly owned subsidiary of newly created holding company.11  (PG & E I, supra, 69 Cal.P.U.C.2d at pp. 180-181 & fn. 3.) The PUC approved the application, subject again to conditions designed to maintain ratepayer indifference and protect the public interest, and subject to the agreement of the boards of directors of PG & E Utility and its holding company to the conditions.   Once again, the PUC referred back to the “history of conditions” associated with holding company reorganizations.   (Id. at p. 188.)   Among other things, the PUC conditioned its approval of PG & E Utility’s application on compliance with the first priority condition, which was recommended jointly by PG & E Utility and the PUC’s Division of Ratepayer Advocates.  (Id. at p. 194.)   As ultimately adopted by the PUC in a follow-up decision in 1999 (after an audit had been performed pursuant to the PG & E I decision), the PG & E first priority condition provides that “[t]he capital requirements of PG & E, as determined to be necessary and prudent to meet the obligation to serve or to operate the utility in a prudent and efficient manner, shall be given first priority by PG & E Corporation’s Board of Directors.”  (Re Pacific Gas and Electric Co. (1999) 86 Cal.P.U.C.2d 76, 90, 1999 WL 589171 (PG & E II ).)   The Division of Ratepayer Advocates proposed adding the language, “or to operate the utility in a prudent and efficient manner,” and PG & E Utility agreed to the revision.  (Ibid.)

    Unlike the earlier holding company decisions, the 1996 PG & E I decision and the follow-up 1999 PG & E II decision contain no discussion of the PUC’s jurisdiction to enforce the conditions as against the holding company.   PG & E Utility and its holding company parent, PG & E Corporation, agreed to the PUC’s conditions.

    As was previously reported, using a law originally enacted to combat the mafia, a Marina Del Rey-based legal scholar recently took the rare step of suing “Bet Tzedek,” a Los Angeles-based Jewish non-profit entity, under the federal Racketeering Influenced and Corrupt Organizations law (“RICO”).

    Also named as part of the alleged racketeering enterprise were banker Alan Rothenberg, David Pasternak, Sandor Samuels, Ronald George, and his son Eric George (who serves as a member of Bet Tzedek’s Board of Directors).

    RICO is a federal law that authorizes a civil cause of action for acts performed as part of an ongoing criminal organization. RICO focuses specifically on racketeering, and it allows for the leaders of a syndicate to be held civilly liable for the crimes that they ordered others to commit or which they assisted in committing.

    The lawsuit alleges that various defendants misused Bet Tzedek as vehicle for the purpose of bribery, embezzlement, money laundering and tax-evasion with the intended outcome of siphoning the money into off-shore accounts. According to sources, the various accounts are located in Switzerland and at the Vatican.

    Specifically, and in connection with some of Bet Tzedek’s alleged racketeering activities, the suit maintains that Sandor Samuels — CEO and President of Bet Tzedek and former Chief Trial Counsel at embattled Countywide Financial Services — was appointed President and CEO of Bet Tzedek largely due to his working knowledge of how to operate an enterprise which engages in myriad financial crimes.

    The suit also asserts that other individuals engaged in racketeering activities, including David Pasternak — a Los-Angeles based “receiver,” as well as an officer of both Bet Tzedek and the Chancery Club — who allegedly used Bet Tzedek as forum to meet, collude, and otherwise bribe various judges and lawyers for the purpose of further appointing Pasternak as “receiver.”

    The complaint also contains allegations that Ronald George — former Chief Justice of the State of California — unlawfully transferred funds from entities that were under his control (such as the California Administrative Office of the Courts (“AOC”) intended for the CCMS computer system) into various accounts that were specifically maintained in Alan Rothenberg’s bank — 1st Century — a bank which Eric George owns in part. Said funds, as the suit alleges, were later embezzled.

    As part of maintaining the scheme, the suit alleges, AOC employees Ronald Overholt and William Vickery were bestowed with various gifts, trips, kickbacks, bribes, excessive salaries, and the like. Similarly, and also as part of guarding the scheme, the suit alleges that defendants, at times, resorted to utilizing the services of Tom Layton — a former Los Angeles Deputy Sheriff/Senior State Bar of California investigator — to “illegally gather detrimental dirt” on various individuals who would oppose and/or object to the existence of said arrangements.

    According to sources, Layton is part of an ongoing “ambulance chasing” scheme that the Girardi Syndicate operates in San Bernardino County vis-a-vis a satellite office located in San Bernardino and managed by Thomas Girardi’s son-in-law, David Lira.

    Additionally, and per the sources, Layton has been previously utilized by the Girardi Syndicate to “assist” Sharon Major Lewis in selecting the names of nominees to be appointed as judges by California Governor Arnold Schwarzenegger, and to garner the support of the Los Angeles Sheriff’s Department in endorsing judicial candidate the Girardi Syndicate deemed worthy of such an endorsement.

    The suit also alleges that defendant Holly Fujie — an officer of both Bet Tzedek and the Chancery Club — engaged in various acts of misconduct while assisting Ronald and Eric George to transfer funds from both the California Bar Foundation (where she serves as vice-president) and the State Bar of California (where she served as a member of a committee responsible for distribution of funds) to Bet Tzedek totaling hundreds of thousand of dollars.

    Bet Tzedek is based in Los Angeles, California. It was founded in 1974, and is an affiliated agency of The Jewish Federation of Greater Los Angeles. Bet Tzedek is the exclusive provider of free legal services to low-income seniors through contracts with the City and County of Los Angeles.

    Arnold & Porter’s Douglas Winthrop (Formerly of Howard Rice) In California Bar Foundation Musical Chairs Chamber Ensemble; Wayne Gretzky, James Brosnahan, Joe Cotchett, John Keker Proxies Revealed — Part 1

    In the legal dispute between MGA (Bratz Dolls) and Mattel (Barbie Dolls), it is estimated that MGA’s legal cost to date are close to $200 million.  According to Mattel, Bratz Dolls were designed by a former Mattel employee (Carter Bryant) before he jumped ship to MGA. Mattel sought $2 billion in damages, and according to Bob Eckert, Mattel’s CEO, pursues the case “as a matter of principle.”

    Representing El Segundo, California-based Mattel was John Quinn of Quinn Emanuel Urquhart & Sullivan.

    Defendant Carter Bryant was represented by Keker & Van Nest’s John Keker. Los Angeles-based MGA and founder/CEO Isaac Larian were initially represented by O’Melveny & Myers. However, a dispute erupted when O’Melveny insisted that partner Daniel Petrocelli serve as lead counsel in the case.

    Mr. Larian was not thrilled about Petrocelli and fired O’Melveny altogether. O’Melveny immediately demanded payment of $10 million it claims MGA and Mr. Larian owe the firm in unpaid and outstanding legal fees.

    With a looming  trial date, no counsel, and a threat from O’Melveny that if he does not pay he will be sued, Mr. Larian went knocking on the door of Thomas Girardi of Girardi & Keese.

    Specifically,  Larian asked Girardi to look into the fees it had paid to O’Melveny.  According to media reports, Girardi stated, “When O’Melveny couldn’t get Petrocelli in the lead chair it wanted off the case. We are taking a look at the massively large fees that happened with the O’Melveny representation. On first blush, it seems like an awful lot of money for what has been accomplished. I think the client has strong reason to have great concern.”

    At approximately the same time, Girardi’s friend — Thomas Nolan of Skadden Arps — was chosen to serve as counsel for MGA and Mr. Larian instead of O’Melveny.  At that time, also representing MGA  was its own in-house counsel, Mr. Craig Holden.

    Thomas Nolan, who served as Girardi’s defense counsel (along with Diane Karpman) in the Ninth Circuit disciplinary matter of In Re Girardi stemming from an attempt  by Walter Lack and Thomas Girardi to defraud the Ninth Circuit , is a well-known and respected attorney. According to Mr. Girardi, Thomas Nolan “is like “Wayne Gretsky” – he doesn’t look any bigger, tougher or faster, but the next thing you know he’s scored four goals. And he’s always a gentleman.”

    Following a verdict against MGA, preparations were made for the second stage of the trial to set damages, which were estimated to be approximately $500 million. At the conclusion of that stage, the jury awarded $100 million to Mattel. In addition, Judge Stephen Larson issued a draconian injunction against MGA, ipso facto dissolving it.

    Following the trial, Wayne Gretsky of Skadden Arps quickly arranged for Howard Rice’s Jerome Falk and Douglas Winthrop to join the legal team and file an immediate emergency motion with the Ninth Circuit Court of Appeals which subsequently reversed the entire judgment.

     

    WAYNE GRETSKY-THOMAS GIRARDI -JOHN KEKER-JOE COTCHETT  PROXIES REVEALED

    At the conclusion of the appeal in a civil case prosecuted by the firms of Girardi & Keese and Engstrom Lipscomb & Lack against Dole Food Company, Chief Judge Alex Kozinski issued an order to show cause why Thomas Girardi and Walter Lack should not be disbarred, suspended, or sanctioned for the attempt to defraud this Court for the purpose of unjustly collecting a $500 million judgment.

    Representing Thomas Girardi in those disciplinary proceedings before ther Ninth Circuit were Wayne Gretsky of Skadden Arps and ethics expert Diane Karpman.

    Oral arguments ensued, during which one of the judges on the panel stated that the “elephant” in the room is the manner in which the matter would be developed by the State Bar of California.

    Subsequently, the Court found both Girardi and Lack culpable, and imposed close to $500,000.00 in monetary sanctions, reprimanded Girardi, and suspended Lack.   Some of the findings included that Lack and Girardi have resorted to employing “the persistent use of known falsehoods” and that “false representations” were made “knowingly, intentionally, and recklessly” during years of litigation.

    The State Bar of California assigned the matter to an outside special prosecutor (Jerome Falk of Howard Rice) since Howard Miller of Girardi & Keese served as President of the State Bar, and had hired the Chief Trial counsel of the State Bar at the time, Mr. James Towery.

    After conducting an interview with Walter Lack, Jerome Falk chose to not file any charges against Lack or Girardi based on his position that any false statements submitted were not “intentional.” This determination was contrary to findings made by the Ninth Circuit.

    Within days of the issuance of Mr. Falk’s decision, YR advanced an ethics complaint against James Towery, Jerome Falk, Howard Miller, and Douglas Winthrop, contending that it had been improper for Mr. Towery to select Jerome Falk (of Howard Rice) to serve as special prosecutor because, among other reasons, Howard Miller (of Girardi & Keese) had appointed Howard Rice’s managing partner (Douglas Winthrop) as president of the California Bar Foundation, a foundation owned, controlled, and maintained by the State Bar of California, as well as because of the close business relationship between Howard Rice’s Jerome Falk and Wayne Gretsky of Skadden Arps.

    Subsequently, and fortuitously, YR  also discovered that Lack and Girardi were actually clients of Jerome Falk and Howard Rice.  YR had inquired with Mr. Hawley of the State Bar of California whether this fact was known to the Special Master investigating the complaint.  The State Bar of California remained mum.

    Subsequently, Jerome Falk wrote to YR:

    I received your November 13 email concerning my participation in the State Bar’s investigation of Walter J. Lack, Thomas V. Girardi and other attorneys. It is filled with disparaging characterizations, all of which seem to stem from your allegations that I or my firm have represented Mr. Lack and Mr. Girardi.

    Your allegations are false.

    I have never represented either person, or their firms. Neither has Douglas Winthrop. Nor has my firm ever represented Mr. Lack or Mr. Girardi.

    From 2006-2008, my firm represented several law firms, including Engstrom, Lipscomb & Lack and Girardi & Keese, in a litigation matter. The public records of that litigation show that neither Mr. Winthrop nor I had nothing to do with that representation; in fact, I was unaware of it. The public records also show that my firm represented the law firms, but did not represent Mr. Girardi or Mr. Lack. The attorney responsible for that representation had left Howard Rice and taken the files with him before I was asked to serve as Special Deputy Trial Counsel in the State Bar matter.

    You are on notice that your allegations are false. The falsity of those allegations can be determined from the public records of the litigation in question.

    Complainant YR wrote back:

    Dear Mr. Falk:

    Thank you for replying to my letter of November 13th, 2011 This will serve as a reply.

    In your letter dated December 7, 2011, you attempt again to defraud and mislead in your attempt to avoid responsibility for your repugnant and deceitful actions taken in connection with your actions as a special prosecutor on behalf of the State Bar of California against two of your and your firm’s clients — Girardi & Keese and Engstrom Lipscomb & Lack (and by operation of law, Thomas Girardi and Walter Lack), as part of a scheme to exploit your authority for financial gain.

    By analogy, rather than acknowledging that you were caught with your hand in the cookie jar, you seek to bamboozle the unwary by stating that it wasn’t actually your hand in the cookie jar but, rather, only your fingers, and in any event it wasn’t a jar but, rather, a plastic container which you contend doesn’t qualify as a jar. Therefore, you devote an entire paragraph proclaiming, “Your allegations are false.” You conclude by placing me on “notice” that my allegations are “false.”

    The contents of your communication are unethical in the extreme, as well as entirely frivolous factually, legally, and by operation of law, to wit:

    You claim, “In fact, I wasn’t aware of it” (referring to the fact that you and your firm had represented Girardi & Keese and ELL). While you acknowledge your firm (Howard Rice) did represent Girardi & Keese and ELL from 2006 to 2008 , you assert that you were not aware of this representation. Simply put, your assertion is false; it is simply implausible that for two entire years you were unaware that your firm represented such celebrity/famous/notorious attorneys such as Thomas Girardi, Walter Lack, and Pierce O’Donnell.

    This is particularly true since you are a member of Howard Rice’s “attorney liability” group, which consists of between 7-9 attorneys (including your colleagues Sean SeLegue, Pamela Phillips, and Steve Mayer), and the subject matter of the litigation was a suit advanced against Girardi & Keese, ELL, and O’Donnell for legal malpractice in connection with alleged attorney misconduct in the litigation involving El Paso Natural Gas/Sempra Energy, a series of cases which received significant publicity.

    I am also hard-pressed to believe that you were unaware of the estimated $250,000 retainer Girardi & Keese and ELL paid to your firm (money which paid your and your colleagues’ salaries), and that no one ever discussed this matter with you for purposes of addressing legal strategy or legal issues in person or during meetings.

    Most importantly, in your letter to Robert Baker you acknowledge that you had interviewed Walter Lack. Again, you ask me to believe that Walter Lack did not mention the fact that Howard Rice represented him and his firm only one year prior to your meeting.

    The fact that Walter Lack did not speak up during the interview with you is just too convenient, and is further circumstantial evidence that you and he both knew of the prior representation, and chose to nevertheless further continue with the conspiracy to obstruct justice for financial gain, to the detriment of the public and the proper administration of justice.     OBJECTION TO CLASS-ACTION SETTLEMENT IN FOGEL V. FARMERS GROUP ALLEGES FRAUD ON THE COURT BY GIRARDI & KEESE AND SKADDEN ARPS DUE TO UNDISCLOSED CONCURRENT REPRESENTATION

    As a service to the community, The Leslie Brodie Report publishes below an objection recently submitted to the court in the matter of BENJAMIN FOGEL vs. FARMERS GROUP, INC.  CASE NO BC300142

    Dear Judge Highberger:

    This will serve to inform this Court about ethical violations and fraud on this Court stemming from collusion between the law offices of Girardi & Keese and Skadden Arps, to equitably object in the interest of justice to the proposed settlement in this matter, to seek a decree from this Court that all sums allocated as attorneys’ fees be shifted to the general fund allocated to compensate the class, and  to seek any other relief this Court deems proper (collectively “Objection”).

    The Objection is based on the fact that while the matter of Fogel vs. Farmers Group was pending before this Court, the law offices of Skadden Arps and Girardi & Keese entered into a wholly separate agreement by which Skadden Arps agreed to represent Girardi & Keese in the matter of In Re Girardi (Case No.08-80090), which was pending before the Ninth Circuit.  Neither the Ninth Circuit nor this Court (or for that matter, the class of plaintiffs which Girardi allegedly represents) were ever informed of the concurrent representation.  In fact, as will be shown, Skadden Arps, and its clients Girardi & Keese and Thomas Girardi, both actively and by omission took action to conceal the matter.

    FACTUAL BACKGROUND

    In August 2003, plaintiff-Fogel filed a class action lawsuit against Farmers Group, Inc. in Los Angeles County Superior Court, case number BC300142.  Walter Lack (of Engstrom, Lipscomb & Lack) and Thomas Girardi and Graham LippSmith (of Girardi & Keese) represent plaintiff-Fogel and the class. Skadden Arps and partner Raoul Kennedy represent the defendants, collectively referred to as Farmers Group, Inc.

    Separately, on August 25, 2005, the Ninth Circuit issued an order to show cause why Girardi & Keese, Engstrom Lipscomb & Lack, Thomas Girardi, and Walter Lack should not be suspended, disbarred, or otherwise sanctioned as a result of the massive fraud which took place in litigation pursued by them against Dole Food Company.  This gave rise to the new matter involving the potential disbarment and sanction of counsel, referred to as In re Girardi, Ninth Circuit case number 08-80090.

    Very shortly thereafter, and despite their respective roles as counsel for plaintiffs and defendants in Fogel v. Farmers, Girardi & Keese and Skadden Arps entered into a wholly separate agreement by which Skadden Arps and partner Thomas Nolan would represent Girardi & Keese and Thomas Girardi before the Ninth Circuit in the matter of In Re Girardi.

    Subsequently, on July 13, 2010, the Ninth Circuit issued a decision heavily sanctioning both Walter Lack and Thomas Girardi (and their respective firms) almost $500,000.  The Ninth Circuit reprimanded Mr. Girardi and suspended Mr. Lack for practicing before the court for a period of 6 months.  The court adjudicated that the grave misconduct by Walter Lack and Thomas Girardi included “the persistent use of known falsehoods,” and that the “false representations” were made  “knowingly, intentionally, and recklessly” during years of litigation.

    On July 14, 2010, the day after the Ninth Circuit issued the published decision, Skadden Arps and Thomas Nolan (on their behalf as well as on behalf of its clients, Girardi & Keese and Thomas Girardi) moved to redact their names from the decision.  The court rejected the request, noting that redaction was not merited.

    Skadden Arps and its clients were in a rush to remove their names from the Ninth Circuit’s published decision in hopes of further hiding from the public and members of the Fogel v. Farmers class the existence of its relationship with Girardi & Keese.

    As discussed above, Thomas Girardi hired Skadden Arps to represent him in the matter of In Re Girardi after Girardi undertook representation of the plaintiffs in Fogel v. Farmers.  The fact of the matter is that Mr. Girardi had a choice, and could have selected a different lawyer and a different law firm to represent him other than Skadden Arps and Thomas Nolan.  He did not do so.  Instead, by his actions, Girardi chose to breach the duties of loyalty, zealousness, and candor he owed to his clients, as well as the duty of candor he owes this Court. 

    Alternatively, assuming a claim be made that Girardi & Keese and Thomas Girardi were entitled to select counsel of their choosing in the matter of In Re Girardi, they were still under a duty to inform this Court as well as the class of plaintiff of the concurrent representation.  They did not.  Instead, by omission, they defrauded both this Court and the plaintiff-class.  The omission was intentional because counsel did not want to run the risk of disqualification.

    By the same token, Skadden Arps (like defendant Farmers) had a duty to inform this Court of the concurrent representation.  Skadden Arps, wishing to collect fees from its clients Thomas Girardi and Girardi & Keese, as well as fees from its client Farmers Group, Inc., chose to remain silent.  One can safely also entertain the thought that Skadden Arps (and, by extension, Farmers) took advantage of the matter to coerce Girardi & Keese to acquiesce to a less than desirable settlement in the Fogel matter than otherwise would have been reached.

    The ethical responsibilities of both Skadden Arps and Girardi & Keese were governed by Rule 3-310 of the California Rules of Professional Conduct.  By any measure, both firms failed to live up to these responsibilities.  Rule 3-310(C)(1) requires an attorney to obtain informed written consent before accepting representation of more than one client in a matter in which the interests of the clients potentially conflict.  No showing can be made that Girardi & Keese and Skadden Arps ever obtained the WRITTEN consent of their respective clients.  By denying their clients the opportunity to consent/object, both firms violated their ethical obligations.

    While the Skadden firm may argue that Skadden partner Thomas Nolan had absolutely no involvement in the Fogel matter, this Court should reject such a  proposition.

    As this Court is aware, defending Farmers Group, Inc. is Skadden Arps’s Raoul Kennedy, who is subordinate Thomas Nolan, co-chair of Skadden’s West Coast Litigation practice.   In addition, Nolan and Kennedy are close friends and throughout this entire period also, jointly, defended MGA in its litigation against Mattel.  Note that in the Mattel vs. MGA case, both Kennedy and Nolan were counsel of record.  Incidentally, it was Thomas Girardi who referred MGA and Issac Larian to Skadden Arps after a dispute erupted between MGA and its former counsel (O’Melveny), leading Issac Larian to knock on Girardi’s door.

    As such, any argument that Kennedy and Nolan maintained an ethical wall should and would fail.  In any event, California law does not fully recognize the concept of ethical walls.  In fact, California law presumes imputed knowledge to all members of a firm.  Any determination of the existence of an ethical wall requires an individual determination on case-by-case basis.  Here, this Court was never informed of the simultaneous and  adverse representations, and was not allow to properly exercise its judgment. 

    Simply stated, these lawyers clearly placed their desire for fees above their loyalty to their clients, and deceived the Court in the process.

    At this late stage of the game, and after years of litigation by which this Court and the class of plaintiffs were deceived by their less-than-forthcoming counsel, this Court should be extremely skeptical of any claim that Raoul Kennedy and Thomas Nolan maintained an ethical wall.  Any wall constructed was a privacy wall for the purpose of hiding the truth from this Court and the class of plaintiffs.   Note that two of the lawyers involved were already found by the Ninth Circuit to make use of  “the persistent use of known falsehoods,” and that the “false representations” were made  “knowingly, intentionally, and recklessly” during years of litigation.

    Both Skadden Arps and Girardi & Keese (and their respective lawyers) engaged in the above-described misconduct for financial gain.  Specifically, Skadden Arps wished to receive the fees from Girardi in the matter of In Re Girardi.  Conversely, Girardi & Keese and Thomas Girardi were hoping to obtain a quick cash settlement from Farmers Group, Inc., to the detriment of their clients.  In addition, Skadden sought to obtain benefits for its long-time client, Farmers Insurance Group, at the expense of the class of plaintiffs, while causing injury to these plaintiffs, the Court, and the fair administration of justice

    ATTORNEY’S FEES

    Both federal and California courts have held that, when the ethical violation in question is a conflict of interest between the attorney and the client, the appropriate fee for the attorney in question is zero.  Despite the admittedly harsh consequences, courts routinely and liberaly employ this remedy.  See generally Fair v. Bakhtiari (2011) 195 Cal.App.4th 1135.  As such, and due to the serious nature of the violations described above, it is respctfully requested that no attorney fees be awarded to counsel in this case.  Instead, any amount which was origianly designated for that purpuse should be shifted to the pool of money designed to companastate the class.

    INTEREST OF UNDERSIGNED

    This Court should be aware that the undersigned is not a member of the plaintff-class in this matter, and never owned any policy issued by Farmers or any of its subsidieries. 

    In January of 2011, undersigned filed an ethics complaint against Howard Rice’s Jerome Falk, who acted as a special prosecutor on behalf of the State Bar of California, for his decision to “exonarate” Thomas Girardi and Walter Lack for the grave misconduct the two committed before front of the Ninth Circuit.  The basis of the complaint was that Jerome Falk should have declared a conflict due to his ongoing  relationship with Skadden Arps’s Thomas Nolan.  Not surprsingly, Jerome Falk was also part of the legal team that represented MGA in the litigation between MGA and Mattel.

    While researching this matter, the undersigned learned that Skadden had moved the Ninth Circuit to remove its name from the decison in the matter of In Re Girardi.

    In March 2011, the undersigned advanced a wholly separate  ethics complaint concering the conflicts of interest in the case of Fogel vs. Farmers Group, Inc. based on the facts described above.  Named in the complaint were Thomas Girardi, Graham LippSmith, Rauol Kennedy, and Thomas Nolan.  Because Mr. Girardi has numerous contacts and close acquaintances within the State Bar (i.e. Executive Director Joe Dunn, who Girardi assisted in launching an online newspaper, for example), and because of other factors and externalities, there appears to be a very small likelihood that the State Bar will take any action in response to this complaint.

    As such, it is up to this Court to ensure that 12.5 million consumers recieve fair and honest dispensation of justice.  The undersigned also asks the Court to recognize that, without the actions taken by the undersigned, the Court would have remained ignorant of the above-described facts.  As such, it will also be up to this Court to determine the manner in which to treat this objection (which was styled as an “equitable objection” given potential issues with standing) and the related informal request to intervene in the interest of justice.

    SACRAMENTO – Governor Edmund G. Brown Jr. nominated Goodwin Liu, Professor of Law at the University of California, Berkeley Law School, to the state Supreme Court today.

    Liu, 40, previously was nominated by President Obama to serve on the U.S. Circuit Court of Appeals for the Ninth Circuit, which is based in San Francisco, but Liu withdrew his nomination two months ago after a Republican filibuster prevented senators from voting on his confirmation.

    “Professor Liu is an extraordinary man and a distinguished legal scholar and teacher,” Brown said. “He is a nationally-recognized expert on constitutional law and has experience in private practice, government service and in the academic community. I know that he will be an outstanding addition to our state supreme court.”

    Prior to joining the Berkeley faculty in 2003, Liu was an appellate litigator in the Washington, D.C. office of Los Angeles-based law firm O’Melveny & Myers. He previously clerked for U.S. Supreme Court Justice Ruth Bader Ginsburg and was special assistant to the Deputy Secretary at the U.S. Department of Education.

    Liu was born in Georgia to parents who had emigrated from Taiwan, and in 1977 he moved with his family to Sacramento, where he attended public schools. He received a bachelor’s degree in biology from Stanford University and a master’s from Oxford University, where he was a Rhodes Scholar. Liu received his Juris Doctor (J.D.) degree from Yale Law School, where he was a member of the Yale Law Journal.

    Two years ago he won the UC Berkeley Distinguished Teaching Award, the university’s most prestigious honor for excellence in teaching. Liu currently serves on the Board of Trustees of Stanford University and is former Chair of the Board of Directors of the American Constitution Society. He was elected to the American Law Institute and he is also on the boards of the National Women’s Law Center, the Public Welfare Foundation and the Alliance for Excellent Education. He and his wife, Ann O’Leary, have a daughter and a son.

    In response to his selection, Liu said: “I’m deeply honored by Governor Brown’s nomination and look forward to the opportunity to serve the people of California on our state’s highest court.”

    Although U.S. Senate Republicans blocked his appointment to the federal bench, his nomination was supported by noted legal conservatives, including former Whitewater prosecutor Kenneth Starr; Richard Painter, who was legal counsel to President George W. Bush, and former Rep. Tom Campbell, now dean of Chapman University’s law school. Liu received a strong endorsement from the American Bar Association, and others supporting his nomination included the California Correctional Police Officers Association, the California Labor Federation, the Hispanic National Bar Association, the National Asian Pacific American Bar Association and the three most recent Presidents of Stanford University.

    Brown has forwarded Liu’s name to the State Bar’s Commission of Judicial Nominees Evaluation. Following the Bar committee’s review, the Commission on Judicial Appointments, consisting of State Supreme Court Chief Justice Tani Cantil-Sakauye, Attorney General Kamala Harris and Justice Joan Dempsey Klein, senior presiding justice of the state Court of Appeal, will hold one or more public hearings to review Liu’s nomination. Although the bar committee’s recommendation is not binding, the Governor’s appointment will not become final until the Commission on Judicial Appointments confirms the nomination.

    Liu will replace Associate Justice Carlos Moreno, who retired from the court earlier this year.

    Goodwin Hon Liu (Chinese: 劉弘威) (born October 1970) is an American lawyer and educator. He is Associate Dean and Professor of Law at the University of California, Berkeley School of Law (Boalt Hall).[1] He has been recognized for his writing on constitutional law, education policy, civil rights, and the Supreme Court.[1] On February 24, 2010, President Barack Obama nominated Liu to fill a vacancy on the U.S. Court of Appeals for the Ninth Circuit.[2] For more than a year, Liu’s nomination languished, amid significant opposition from Republicans in the U.S. Senate. On May 19, 2011, the Senate rejected cloture on Liu’s nomination in a 52-43 vote,[3] and on May 25, 2011, Liu informed President Obama that he is withdrawing his name from consideration to the seat on the Ninth Circuit, telling the president that “With no possibility of an up-or-down vote on the horizon, my family and I have decided that it is time for us to regain the ability to make plans for the future.”[4]

    Liu is of Taiwanese descent. Born in Augusta, Georgia[2] as the second son of Wen-Pen and Yang-Ching Liu, both of whom came to the United States from Taiwan in the late 1960s when foreign doctors were being recruited to work in underserved areas. Liu and his family moved to Clewiston, Florida, shortly after his birth and then in 1977, they relocated to Sacramento, California, where Liu graduated from Rio Americano High School. He went to Stanford University and earned a bachelor’s degree in biology. While at Stanford, he was active in student politics as a member of the People’s Platform, serving on the Council of Presidents of the ASSU. He attended Oxford University on a Rhodes Scholarship and earned a masters degree in philosophy and physiology. Liu received his Juris Doctor (J.D.) degree from Yale Law School.

    Before joining the Boalt faculty in 2003, Liu was an appellate litigator at O’Melveny & Myers in Washington. He clerked for U.S. Supreme Court Justice Ruth Bader Ginsburg and for Judge David S. Tatel of the U.S. Court of Appeals for the D.C. Circuit. He also served as special assistant to the deputy secretary of the U.S. Department of Education and as senior program officer for higher education at the Corporation for National Service (AmeriCorps).

    On February 24, 2010, President Obama nominated Liu to a new judgeship seat on the Ninth Circuit created by the Court Security Improvement Act of 2007; which became effective on January 21, 2009. His nomination was filibustered by Republicans in the Senate and expired with the sine die adjournment of the 111th Congress.[5] He was renominated to the same position on the first full day of the 112th Congress.[6][7] On April 7, 2011 the Senate Judiciary Committee reported his nomination to the floor of the Senate by a 10-8 vote.[8]

    Liu’s nomination earned support from former Independent Counsel Kenneth Starr [9] and former Associate White House Counsel to President George W. Bush Richard Painter[10] on the right, to former Acting Solicitor General to President Bill Clinton, Walter Dellinger[11] and Senator Barbara Boxer (D-CA),[12] on the left.

    On May 17, 2011, Senator Harry Reid filed a cloture motion on Liu’s nomination.[13] On May 19, 2011, the Senate rejected cloture in a mostly party-line vote of 52-43, with all but one Democrat voting in favor of cloture and all but one Republican voting against.[3] He became the first Obama judicial nominee to be successfully filibustered in the Senate.[14] With the makeup of the Senate unlikely to change until after the 2012 election, Liu withdrew his name from consideration on May 25, 2011.

    [edit] Controversy and criticism

    In addition to his academic work, Liu gained wide attention for his outspoken opposition to the nominations of John Roberts and Samuel Alito to the Supreme Court. In a 2005 op-ed for the Bloomberg news service, Liu argued that “a Supreme Court nominee must be evaluated on more than legal intellect.”[15] He criticized Roberts for having “applied his legal talent to further the cause of the far right” and said that Roberts had “a right-wing vision antagonistic to important rights and protections we currently enjoy.”[15] In response to the defense that Roberts’ opinions as a government attorney could not be attributed to Roberts himself, Liu argued that those positions “cohere with other aspects of his background” and indicate that Roberts would be “a social, political, and economic conservative and, importantly, not a judicial conservative” on the Court.[15] Later, in testimony before the Senate opposing Alito’s nomination, Liu said that, despite Alito’s “exceptionally talented legal mind,” he was “at the margin of the judicial spectrum, not the mainstream.”[16] In flamboyant language, Liu said that Alito “envisions an America where police may shoot and kill an unarmed boy to stop him from running away with a stolen purse” and “where a black man may be sentenced to death by an all-white jury for killing a white man, absent [an] analysis showing discrimination,” concluding that Alito’s America “is not the America we know. Nor is it the America we aspire to be.”[16]

    Liu’s nomination was harshly criticized by conservative legal blogger and former Department of Justice lawyer M. Edward Whelan III on National Review Online.[17] Whelan argued that Liu has been a strong proponent of judicial activism in his legal writings, a claim rejected by supporters such as Liu’s faculty colleague Jesse Choper and former Bush White House counsel Richard Painter.[18][19] His arguments against the Roberts and Alito nominations also were an issue, with Whelan terming them “shoddy and demagogic,”[20] while Liu’s supporters such as Painter argue that lawyers should “feel free to speak their minds about Supreme Court and other judicial nominations without fear of retribution.”[19] Although Liu said at his nomination hearing that his statements about Alito were “unduly harsh” and “not an appropriate” description of Alito, one opposing senator described this as a “semi-apology” for “shameful remarks” and a “nomination conversion” that was unlikely to represent Liu’s true views.[14]

    Liu was also criticized by Senate Republicans for allegedly failing to disclose 117 of his more controversial writings and speeches.[21][22] On April 6, 2010, Liu submitted the 117 requested items to the committee as a supplemental to the original questionnaire.[23] The committee hearing had been postponed twice particularly due to Republican concerns over Liu’s judicial qualifications and record.[24] On April 6, 2010, a letter was sent to the Senate Judiciary Committee Chairman Patrick Leahy by the seven committee Republicans to request a third postponement, which was subsequently rejected.[25] Liu was also criticized for lack of trial-level experience. Prior to his nomination, Liu had not served as a judge and had argued only one case at the appellate court level as a lawyer.[26][27]

    Liu is socially liberal. He has written in favor of affirmative action, abortion rights, and same-sex marriage and has been critical of Bush-era waterboarding policy and the death penalty. His positions are usually left-leaning; however, Liu has supported charter schools and government-funded vouchers for private schools, particularly if used as a tool to “promote racial diversity.”[28]

    In 2007, Liu’s work won the Education Law Association’s Steven S. Goldberg Award for Distinguished Scholarship in Education Law.[36] In 2009, Professor Liu won the UC Berkeley Distinguished Teaching Award,[37] the university’s most prestigious award for excellence in teaching. The Boalt Hall Class of 2009 selected him as the faculty commencement speaker.[38]

    Liu is a frequent commentator on constitutional law and education policy in general media, including the New York Times, Washington Post, Los Angeles Times, PBS Newshour with Jim Lehrer, and National Public Radio. He has testified before the U.S. Senate Judiciary Committee, the California Assembly Education Committee, and the California Assembly and Senate Judiciary Committees.

    Liu recently served on the education policy and agency review teams of the Presidential transition of Barack Obama. He serves on the Board of Trustees of Stanford University and is Chair of the Board of Directors of the American Constitution Society. He also serves on the boards of National Women’s Law Center, the Public Welfare Foundation, and the Alliance for Excellent Education. He was elected to the American Law Institute in 2008. Liu also served as a faculty advisor to the California College Prep Academy, a public charter school co-founded by UC Berkeley and Aspire Public Schools.

    Liu is married to Ann O’Leary, the daughter of a social worker and a union leader, who grew up in Orono, Maine. She is the founding Executive Director of the UC Berkeley Center on Health, Economic & Family Security. Liu and his wife have one daughter, Violet, and one son, Emmett. Liu has run four marathons and is also a skilled chef and fisherman.[28]

    In the legal dispute between MGA (Bratz Dolls) and Mattel (Barbie Dolls), it is estimated that MGA’s legal cost to date are close to $200 million, meaning that to date MGA has paid $200 million to various law firms to defend the action advanced by Mattel for copyright
    infringement.

    According to Mattel, Bratz Dolls were designed by a former Mattel employee (Carter Bryant) before he jumped ship to MGA. Mattel sought $2 billion in damages, and according to Bob Eckert, Mattel’s CEO, pursues the case “as a matter of principle.”

    Representing El Segundo, California-based Mattel was John Quinn of Quinn Emanuel Urquhart & Sullivan.

    Defendant Carter Bryant was represented by Keker & Van Nest’s John Keker. Los Angeles-based MGA and founder/CEO Isaac Larian were initially represented by O’Melveny & Myers. However, in 2007 a dispute erupted when O’Melveny insisted that partner Daniel Petrocelli serve as lead counsel in the case.

    Mr. Larian was not thrilled about Petrocelli and fired O’Melveny altogether. O’Melveny immediately demanded payment of $10 million it claims MGA and Mr. Larian owe the firm in unpaid and outstanding legal fees.

    With a looming 2008 trial date, no counsel, and a threat from O’Melveny that if he does not pay he will be sued, Mr. Larian went knocking on the door of Thomas Girardi of Girardi & Keese.

    Specifically, according to an article published in The Recorder, in October 2007 MGA and Isaac Larian asked Girardi to look into the fees it had paid to O’Melveny.

    According to the article, Girardi stated, “When O’Melveny couldn’t get Petrocelli in the lead chair it wanted off the case. We are taking a look at the massively large fees that happened with the O’Melveny representation. On first blush, it seems like an awful lot of money for what has been accomplished. I think the client has strong reason to have great concern.”

    At approximately the same time, Girardi’s friend — Thomas Nolan of Skadden Arps — was chosen to serve as counsel for MGA and Mr. Larian instead of O’Melveny.

    As reported in The Recorder, “We decided to put it all under one roof,” stated Mr. Larian, “and we decided to go with Skadden and Tom Nolan.”

    Thomas Nolan, who served as Girardi’s counsel (along with Diane Karpman) in the matter of In Re Girardi, is a well-known and respected attorney. According to Mr. Girardi, Thomas Nolan “is like “Wayne Gretsky” – he doesn’t look any bigger, tougher or faster, but the next thing you know he’s scored four goals. And he’s always a gentleman.”

    A six-week trial was conducted in the courtroom of federal judge Stephen Larson. On July 17, 2008 , the jury returned a verdict for Mattel. More specifically, the jury found that both MGA and Isaac Larian had interfered with Mattel’s contractual relationship with Bryant, who had been under the control of Mattel during the time he designed the Bratz Dolls.

    Following the verdict, preparations were made for the second stage of the trial to set damages, which were estimated to be approximately $500 million. At the conclusion of that stage, the jury awarded $100 million to Mattel. In addition, Judge Larson issued a draconian injunction against MGA, ipso facto dissolving it.

    Following the trial, Thomas Nolan quickly arranged for Howard Rice’s Jerome Falk and Douglas Winthrop to join the legal team and file an immediate emergency motion with the Ninth Circuit Court of Appeals.

    The Ninth Circuit subsequently reversed the entire judgment and sent the matter back to District Court where it was assigned to a different judge.

    Judge Larson – the initial trial judge who had taken a harsh view of GMA and Mr. Larian had left the bench to commence his employment with Girardi & Keese.
